ExxonMobil plans to move legal headquarters after 142 years

ExxonMobil plans to move its legal headquarters from New Jersey, ending more than 140 years of incorporation there.

ExxonMobil plans to move its legal headquarters to Texas from New Jersey, ending more than 140 years of incorporation in the northeastern U.S. state as the oil major seeks what it describes as a more business-friendly legal environment.

The company said on Tuesday that its board of directors has unanimously recommended that shareholders approve the shift in legal domicile, aligning the company’s corporate registration with where its executive leadership and core operations have been based since 1989.

Chief Executive Officer Darren Woods said Texas has developed policies and regulatory structures that support businesses and allow companies to “maximize shareholder value.”

“Aligning our legal home with our operating home, in a state that understands our business and has a stake in the company’s success, is important,” Woods said.

ExxonMobil moved its physical headquarters to Texas in 1989 and now bases a large portion of its global operations there. About 30% of the company’s worldwide workforce is located in Texas, and most of its U.S. research facilities operate in the state.

The proposed relocation would not affect the company’s business operations, workforce locations, strategy or assets, ExxonMobil said. Shareholders will vote on the proposal at the company’s 2026 annual meeting.

Woods also suggested the move would help protect the company from what he described as shareholder “abuse,” referring to lawsuits filed by investors challenging corporate decisions in certain jurisdictions.

Texas has recently created a specialized business court system designed to handle complex corporate disputes and has passed laws making it harder to sue company directors, developments that many corporations view as strengthening legal protections for management.

The move reflects a broader trend of companies shifting their legal bases to Texas, which has emerged as a major corporate hub for the U.S. energy sector.

ExxonMobil in Nigeria and More

The energy giant has operated in Nigeria for nearly a century and remains one of the largest international oil companies active in the country. Its Nigerian business is headquartered in Lagos, while major upstream operations are managed from an operational base in Akwa Ibom.

Through its Nigerian affiliate, Mobil Producing Nigeria, ExxonMobil has been involved in offshore oil production and energy development for decades and is a major contributor to Nigeria’s crude output.

The company remains one of the world’s largest publicly traded energy producers, with businesses spanning oil and gas exploration, refining, petrochemicals and emerging low-carbon technologies.

ExxonMobil’s legal link to New Jersey dates back to the 1882 incorporation of Standard Oil of New Jersey — one of the original companies created from the breakup of Standard Oil.
